These Terms govern your subscription to and use of EIAAW SalesAgent. They include important obligations around acceptable use, anti-spam compliance, and the human oversight required for AI-generated outreach.
These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and EIAAW Solutions, a Malaysia-based company ("EIAAW", "we"), governing your access to and use of the EIAAW SalesAgent platform and related services (together, the "Service"). By creating an account or using the Service you accept these Terms. If you do not accept them, do not use the Service.
You must be at least 18 and have legal capacity to enter contracts. You are responsible for: the accuracy of your registration details, the confidentiality of your credentials, and every action taken under your account. Notify us immediately if you suspect unauthorised access.
The Service issues session tokens with a 24-hour absolute expiry and a 30-minute idle timeout; you will be re-authenticated periodically.
Each plan carries monthly quotas for leads, campaigns, AI actions, voice call minutes, and contact reveals. When a quota is reached, that capability pauses until the next cycle or until you purchase an add-on pack (voice minutes, AI credits, or contact reveals). We reserve the right to apply reasonable technical rate limits (currently 120 requests/minute general; 10 login attempts/15 minutes; 10 AI requests/minute; 3 outbound emails/minute per user) to preserve service health.

You are the sender of every email, voice call, or message the Service dispatches on your behalf. You are responsible for complying with the anti-spam and marketing laws of every jurisdiction you contact, including:
Every outreach email generated by the Service must include: your sender identity, a physical address, and a working unsubscribe mechanism. You may not disable or modify unsubscribe handling.
Outbound voice calls dispatched through the Service use AI-generated speech delivered via our voice provider (Retell). You agree:
The Service uses Anthropic's Claude models to generate lead scores, qualification summaries, outreach copy, voice scripts, and pipeline suggestions. You agree that:
You retain all rights, title, and interest in the data you upload or generate inside the Service ("Customer Data"), subject to a limited licence granted to us to host, process, and back it up so that we can deliver the Service. We do not sell Customer Data. We do not use Customer Data to train foundation AI models.
You can export Customer Data at any time via the in-app export tools. On termination you may request a final export within 30 days, after which the data is deleted subject to the retention periods set out in our Privacy Policy.
The Service, including its codebase, UI, AI prompting framework, and brand, is owned by EIAAW Solutions and its licensors and protected by applicable intellectual-property laws. We grant you a non-exclusive, non-transferable, revocable licence to use the Service during the subscription term. All rights not expressly granted are reserved.
Each party will protect the other's non-public information with at least the same degree of care as its own confidential information and not less than a reasonable standard. This obligation survives termination for three years.
We target 99.5% monthly uptime on paid plans, excluding scheduled maintenance, force majeure, and downstream provider outages (Anthropic, Retell, Resend, Stripe, Railway). We may issue service credits at our discretion for sustained breaches of this target. The Service is provided on an "as available" basis.
We may suspend or terminate your access if you materially breach these Terms (including §§5–7), if your payment fails and remains unpaid for 14 days, or if continued provision of the Service would expose us or our providers to legal or security risk. We will give reasonable notice where practicable.
On termination: your right to use the Service ends immediately; fees already paid are non-refundable except as required by law; data retention follows the Privacy Policy.
We warrant that the Service will perform substantially in accordance with its published documentation. Except as expressly stated, the Service is provided "as is", without warranty of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or that AI outputs will be accurate or suitable.
To the maximum extent permitted by law:
Nothing in these Terms excludes liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
You will indemnify and hold EIAAW harmless from any claim brought by a third party (including a recipient of your outreach) arising from: your breach of §§5–7; your Customer Data; or your misuse of AI outputs.
We may update these Terms to reflect product, legal, or operational changes. Material changes will be notified by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
These Terms are governed by the laws of Malaysia. The parties submit to the exclusive jurisdiction of the courts of Kuala Lumpur, except that either party may seek injunctive relief in any court of competent jurisdiction.
